MTN Zakhele intends to list its ordinary shares on the JSE on 5 November 2015. In preparation for the JSE Listing, MTN Zakhele will close the current trading platform on 16 October 2015. A new transaction platform will open on 26 October 2015 for verifications and registrations. From year four onwards, while the MTN Zakhele Futhi Pref Shares remain outstanding, the dividend income earned on the MTN Shares held by MTN Zakhele Futhi in the ordinary course will be used firstly to pay or provide for permitted operational fees, costs and expenses and tax liabilities of MTN Zakhele Futhi and then a portion will be used to pay dividends and to provide a specified minimum amount per annum for settlement of the third party funding of MTN Zakhele Futhi. MTN Zakhele-Futhi acquired a 4percent equity in MTN at a 20percent discount, making the black participants who subscribed to the MTN Zakhele-Futhi scheme indirect shareholders in MTN. However, MTN Zakhele Futhi’s ties to the MTN Group will serve it well as MTN continues to grow and expand in Africa and other places like Iran. This has the perceptive effect of raising expectations and investor confidence, especially given the fact that MTN Zakhele Futhi’s dividends are tied to the financial performance of the MTN Group as a whole.
